These Terms of Service govern your use of the White River Media website and any services provided by White River Media ("we," "us," or "our"). By engaging our services or using this website, you agree to these terms. Please read them carefully.
1. Services
White River Media provides digital marketing and web design services including, but not limited to, website design and development, search engine optimization (SEO), social media management, email marketing, branding, and ecommerce solutions. The specific scope, deliverables, timeline, and pricing for each project are agreed upon separately before work begins, either through a written proposal or mutual agreement via email.
2. Payment Terms
- A deposit of 50% of the total project fee is required before work begins. The remaining balance is due upon project completion and prior to final delivery or launch.
- For ongoing monthly services, payment is due at the start of each billing period.
- Invoices not paid within 14 days of the due date may result in a pause of services until payment is received.
- All fees are non-refundable once work has commenced, except where White River Media fails to deliver the agreed-upon services.
- Accepted payment methods will be communicated at the time of engagement.
3. Revisions & Approvals
- Each project includes a reasonable number of revision rounds as agreed upon in the project scope. Additional revisions beyond the agreed scope may be billed at an hourly rate.
- The client is responsible for reviewing and approving all work in a timely manner. Delays caused by the client may affect the project timeline.
- Final approval from the client constitutes acceptance of the delivered work. White River Media is not responsible for errors or omissions approved by the client.
4. Intellectual Property & Ownership
- Upon receipt of full payment, the client owns all custom work created specifically for their project, including website designs, written content, and branding assets.
- White River Media retains the right to display completed work in its portfolio and marketing materials unless the client requests otherwise in writing.
- Any third-party assets used (stock photos, fonts, plugins, frameworks) remain subject to their respective licenses. White River Media will inform clients of any licensing requirements.
- Work is not transferred until payment is received in full.
5. Client Responsibilities
The client agrees to:
- Provide accurate, complete, and timely information, content, and materials required to complete the project.
- Provide access to necessary accounts, platforms, and systems (website hosting, social media, Google accounts, etc.).
- Ensure all content provided to White River Media does not infringe on any third-party intellectual property rights.
- Review and respond to drafts and requests within a reasonable timeframe to keep the project on schedule.
6. Cancellation & Termination
- Either party may terminate a project with 14 days written notice.
- If the client terminates a project after work has begun, the deposit is non-refundable. Any work completed beyond the deposit value will be invoiced and must be paid before any deliverables are transferred.
- If White River Media terminates a project for reasons other than client non-payment or breach of these terms, any unearned portion of the deposit will be refunded.
- For monthly services, cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days in a billing cycle.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. White River Media will not share client business information, strategies, or data with third parties without explicit written consent, except where required by law.
8. Results & Performance Disclaimer
White River Media will apply industry best practices and genuine effort to all work. However, we do not guarantee specific outcomes such as search engine rankings, social media follower counts, website traffic, or revenue. Digital marketing results depend on many factors outside our control, including algorithm changes, market conditions, and the client's own business operations.
9. Limitation of Liability
White River Media's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages, including lost revenue, lost data, or business interruption.
10. Website Use
- The content on this website is provided for informational purposes only and does not constitute a binding offer or contract.
- You agree not to use this website for any unlawful purpose or in any way that could damage, disable, or impair the website.
- We reserve the right to update or remove website content at any time without notice.
11. Governing Law
These Terms of Service are governed by the laws of the State of Indiana, United States. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Lawrence County, Indiana.
12. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after any changes constitutes acceptance of the updated terms. For active client engagements, material changes will be communicated directly.
